According to competition rules, merger
and acquisition deals above a certain threshold are
subjected to the approval of competition authorities.
In case of high post merger market shares, the
approval becomes more difficult to obtain or the
possibility of a conditional approval increases. A
potential incompatibility between the merging parties
commercial strategies and the nature of the foreseen
structural remedies may jeopardize the whole deal.
Therefore an economic analysis of the competitive
framework in a post merger scenario would be useful.
It would make it possible to determine whether there
are indeed risks related to competition and as such
possibly allay the concerns of competition
authorities. In this framework, the definition of the
relevant market and of the nature of the competition
in the market and the impact assessment of the merger
on competition can be carried out. |
